01Agreement and who we are
These Terms of Service ("Terms") are an agreement between you and Editraa ("Editraa", "we", "us"), a video editing studio. They apply when you use this website and when you commission or receive any editing work from us.
By using the website, sending us a brief or accepting a quote, you agree to these Terms. If you do not agree, please do not use the site or ask us to start work. If you are agreeing for a company, you confirm you have authority to bind it.
These Terms work together with our Payment & Revision Policy, Privacy Policy, Cookie Policy, Copyright & Content policy and Disclaimer. If a written quote for your project says something different from these Terms on a specific point (for example a custom delivery schedule), the quote wins for that project.
02Using the website
You agree to use this website lawfully and not to:
- Send us unlawful, harmful, infringing or deceptive material.
- Contact us with false details, or use our channels to send spam, malware or automated bulk messages.
- Attempt to probe, disrupt, scrape or gain unauthorised access to the site or its systems.
- Copy, republish or resell our content, design or code except as the Copyright & Content policy allows.
03What we do
We edit video: short-form (Reels, Shorts, TikToks, ads and similar vertical content), long-form (YouTube videos, podcasts, courses, documentaries and similar) and related work such as captions, motion graphics, sound design and colour.
The exact scope — what we will do, for how many videos, in what format, with how many revision rounds and by when — is set in your quote or written confirmation. Anything outside it is new work.
04How a project works
Our process is built so that you never pay for something you haven't seen:
- You send footage and a brief, and we agree scope in a quote.
- We edit the video.
- We show you the finished edit as a watch-only preview.
- You request changes within the agreed revision rounds, or approve it.
- Once you approve, you pay, and we release the final files.
05Delivery times
Short-form videos are edited and delivered within 1 day, and long-form videos within 2 days, whatever the editing style or complexity — captions only or full motion graphics, sound design and colour.
The time is counted from when we have received your complete footage and a clear brief. It does not run while we are waiting for missing footage, assets, answers or approvals from you. For large batches, retainers or unusually long material, we agree a schedule in the quote before starting, and that schedule applies.
Delivery here means the preview is ready for you to review. We will tell you promptly if something puts a delivery time at risk. Events outside our reasonable control are covered under “Force majeure” below.
06Your responsibilities
To let us do good work on time, you agree to:
- Send complete, usable footage and a brief that says what the video is for.
- Confirm that you own, or have permission to use, every piece of footage, music, logo, font and other material you give us.
- Get any consent needed from people who appear or are heard in your material.
- Tell us upfront about any platform, brand, legal or regulatory requirements the video must meet.
- Review previews and give consolidated feedback promptly; delays on your side move the delivery date.
07Previews and revisions
Previews are shared watch-only or watermarked, for review only. You may not download, publish, share or otherwise use a preview before you have approved the video and paid.
Each project includes a defined number of revision rounds, usually up to three and always confirmed in your quote. A round is one consolidated set of notes worked through together, not a single change. Revisions refine the agreed direction; a change of direction after notes have been worked through, or a new cut of the same footage, is new work and is quoted separately.
08Payment
We do not ask for payment upfront. We edit your video first and show it to you; you pay after you have seen and approved it. Final files are released when payment is received.
The price, currency, any taxes and the payment method are stated in your quote and invoice. Details, including what happens if you decide not to proceed, are in the Payment & Revision Policy.
If an invoice is not paid by its due date we may pause further work and withhold final files and project files until it is.
09Ownership and licence
You keep ownership of the footage and materials you give us. We do not claim any rights in them.
On receipt of full payment, you own the final delivered video as far as our work in it is concerned and may use it as you wish, including commercially. Project files are available on request so you are never locked in.
Until payment is received, the preview and our edit remain ours, and you receive no licence to use them. If you choose not to proceed, you may not use the preview or the ideas in our edit.
We keep the right to use our general skills, techniques and know-how, and any tools, templates or assets we owned before your project.
10Third-party assets
Where we license stock footage, music, fonts or similar assets on your behalf, they are subject to the licence terms of their provider, which we will tell you about. Those terms may limit where and how long the asset can be used.
If you supply music or other assets, you are responsible for holding the right to use them in the final video and on the platforms you publish to.
11Portfolio and credit
We will not show your project, name or logo in our portfolio, website or social media without your permission. If you give permission, you can withdraw it later and we will remove the work from our own channels within a reasonable time (we cannot recall copies already shared by others).
12Confidentiality
We treat your footage, brief, unreleased content and business information as confidential and share it only with the people and providers who need it to deliver your project, who are bound to keep it confidential.
We are happy to sign a non-disclosure agreement at no extra cost. Ask before sending anything particularly sensitive. This does not apply to information that is public, that you have made public, or that we are required by law to disclose.
13Cancellation and refunds
You can cancel a project at any time before approving the preview. Because we are paid only after approval, cancelling before approval means nothing is owed for that edit, and the preview and our edit stay with us (see “Ownership and licence”).
If you have already paid and we fail to deliver what was agreed, we will put it right or refund the part not delivered. For retainers and monthly arrangements, notice and cancellation terms are those agreed in writing when the arrangement began.
14No guarantees about results
We edit to a professional standard, but we cannot guarantee any commercial outcome — views, watch time, subscribers, sales or engagement depend on many factors outside an edit. The website, our portfolio and the figures on it are descriptions of our work, not promises of results (see the Disclaimer).
Except as stated in these Terms, and to the extent the law allows, we provide our services and website “as is” without any other warranty.
15Limitation of liability
To the maximum extent permitted by law, our total liability to you for any claim arising from a project is limited to the amount you paid us for that project. We are not liable for indirect or consequential loss, lost profit, lost revenue, loss of audience or loss of data, even if we were told they were possible.
We are not responsible for loss or damage caused by footage, music or other material you supplied, by your delay or by your instructions. Nothing in these Terms limits liability that cannot lawfully be limited, including for fraud or for death or personal injury caused by negligence.
16Your promises and indemnity
You are responsible for the material you give us and for how you use the finished video. You agree to compensate us for loss, claims and reasonable costs that arise because material you supplied infringes someone's rights or breaks the law, or because you used a video in breach of these Terms.
17Force majeure
Neither of us is in breach for a delay or failure caused by something beyond reasonable control, such as illness, power or internet failure, platform or cloud-service outages, natural events, or government action. We will tell you promptly and agree a revised timeline.
18Governing law and disputes
These Terms are governed by the laws of India. If a disagreement arises, we ask that you contact us first so we can try to resolve it in good faith. If we cannot, the courts of competent jurisdiction in India will have jurisdiction, unless the law requires otherwise or we agree in writing on a different forum.
19General
If any part of these Terms is found unenforceable, the rest still applies. Our not enforcing a right at once does not waive it. You may not transfer your rights under these Terms without our written consent. Together with your quote and the policies listed above, these Terms are the whole agreement between us on their subject.
20Changes to these Terms
We may update these Terms from time to time. For a project already under way, the version in force when your quote was accepted applies. For the website, the version published here applies when you use it.
